Terms of Service

Welcome to Sharpei, a platform operated by Elaxtik, Inc. (“Sharpei”, “we”, “our”, or “us”). These Terms of Service (“Agreement”) govern your access to and use of the Sharpei platform, products, and services (collectively, the “Services”), including any integrations with third-party financial providers such as Terrace Finance Corp, Grenke... By accessing or using any part of the Services, you agree to be bound by these Terms.

1. Introduction & Scope of Agreement

This Agreement applies to all users (both merchants and end users) of the Sharpei platform. It incorporates:

• Our commercial service terms with merchants;

• Our user terms and disclosures;

• Privacy, data handling, and third-party policies;

• Service level commitments and limitations of liability.

These terms are subject to modification at Sharpei’s discretion. Continued use of the Services following any change constitutes acceptance of the revised Terms.

2. Platform Services

Sharpei provides a software-as-a-service (SaaS) platform that allows retailers to offer flexible ownership models including rentals, subscriptions, and lease-to-own options at checkout. The platform integrates with third-party financial providers to enable both individual (B2C) and commercial (B2B) financing and leasing.

Sharpei does not engage in lending or financing. Specifically, Sharpei:

• Is not licensed as a finance lender, broker, or servicer in any jurisdiction;

• Does not originate, fund, or service financial agreements;

• Does not underwrite or make credit decisions.

All financing-related decisions and activities are conducted solely by our financial partners (e.g., Terrace Finance Corp, Grenke...).

3. Financial Provider Role

All financing products offered through Sharpei are managed exclusively by independent financial entities. These providers are responsible for:

• Underwriting, origination, and credit approval;

• Disclosures (e.g., TILA, ECOA, FCRA);

• Loan and lease servicing;

• Consumer communications and adverse action notices.

Sharpei receives compensation for providing software and platform orchestration only. Sharpei does not receive commissions or compensation based on loan volume, approval rates, or loan performance.

4. Account Usage & Eligibility

Use of Sharpei requires users to:

• Be at least 18 years of age;

• Agree to conduct business electronically under the federal ESIGN Act;

• Provide accurate, complete, and truthful information;

• Not share login credentials or submit false information.

Sharpei reserves the right to suspend or terminate accounts for any violation of these requirements or suspected fraud.

5. User Consent & Disclosures

By using the Sharpei platform, users:

• Agree that Sharpei is not a party to any financial agreement executed through the platform;

• Accept that all credit decisions and financial agreements are handled by Financing Partners;

• Consent to electronic disclosures and document execution.

Users may withdraw their electronic consent at any time, though this may result in their inability to proceed with financing applications.

6. Privacy & Data Practices

Sharpei collects and processes limited personal data for platform operation and user experience. This may include:

• Contact information, session behavior, and device identifiers;

• Merchant and transactional metadata;

• Cookie and analytics tracking.

Sharpei does not collect or process credit-related information. Financing Partners act as independent data controllers of all financial data.

Sharpei complies with:

• The Gramm-Leach-Bliley Act (GLBA);

• The California Consumer Privacy Act (CCPA);

• The General Data Protection Regulation (GDPR).

Users may request access to, correction of, or deletion of their data, subject to applicable legal and contractual constraints.

7. Intellectual Property

All intellectual property rights in the Sharpei platform, including:

• Source code, APIs, interfaces, and user interfaces;

• Documentation, branding, and service models;

• Analytics and derivative outputs,

remain the exclusive property of Sharpei.

User-generated feedback may be used by Sharpei to improve the Services without restriction or compensation.

Merchants may grant Sharpei a limited, revocable right to use their trademarks for platform branding, marketing, or white-labeling, as specified in service orders.

8. Acceptable Use Policy

You may not:

• Use the platform for any unlawful or deceptive activity;

• Circumvent, hack, or interfere with Sharpei’s security mechanisms;

• Copy, reverse-engineer, or resell the Services;

• Use the Services in a way that violates third-party rights or regulations.

Violations may result in immediate suspension or termination.

9. Fees, Billing, & Taxes (For Merchants)

All fees for platform use are defined in executed service orders or reseller agreements. Fees are non-refundable and non-cancellable except as explicitly stated.

Merchants are responsible for paying all applicable taxes (excluding Sharpei’s income, property, or payroll taxes).

10. Third-Party Services

Use of any third-party services, including Financing Partners (e.g., Terrace Finance), is subject to that provider’s own terms and conditions.

Sharpei is not responsible for:

• Their availability or performance;

• Any errors, adverse decisions, or data losses caused by third-party platforms;

• User obligations arising from contracts entered into via those services.

11. Service Level, Downtime, & Warranty

Sharpei provides hosting, maintenance, and support for the platform as outlined in the Service Level Agreement (SLA). Sharpei does not guarantee uninterrupted or error-free operation.

Sharpei disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law:

• Sharpei will not be liable for indirect, incidental, punitive, or consequential damages;

• Sharpei is not liable for credit decisions or financing disputes;

• Sharpei’s total liability is capped at the greater of $100 or the amount paid by the user in the previous 12 months.

13. Indemnification

You agree to indemnify Sharpei from claims arising out of:

• Your breach of these Terms;

• Your violation of applicable law;

• Any dispute between you and a Financing Partner or merchant;

• Unauthorized use of the platform.

14. Termination

Sharpei may terminate or suspend your access to the Services:

• For breach of these Terms;

• Upon discontinuation of the platform;

• If required by law or court order.

Users may terminate their account at any time by contacting Sharpei.

15. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Delaware. Disputes will be resolved exclusively in the courts located in New York County, New York.

16. Changes to These Terms

Sharpei reserves the right to update or modify these Terms. Material changes will be notified by email or prominent website notice.
